Corporate Recovery Lawyer When to Send Notice and When to File Case

Corporate Recovery Lawyer When to Send Notice and When to File Case

Corporate Recovery Lawyer When to Send Notice and When to File Case

This is where most businesses make their first mistake. Debt collection reminders are sent even when it has stopped being an ordinary overdue account. Sometimes they even threaten them with a legal notice immediately after the customer misses a payment of one invoice which could have been easily sorted by asking them for a commercial reason.

So when should you send a notice? There are numerous things to be taken into consideration before sending out a notice. What kind of agreements are in place? Contracts Terms, Limitation Act Timeframe. Is this a 1st Time default or have they defaulted on payments before? Do you want to do business with them in the future? These questions answer you whether you should send a legal notice or start a legal proceeding against your debtor.

Let’s say you have a contractor who supplies tools to let’s assume an office in Noida. The contractor has supplied goods worth 18 lakh rupees, has a purchase order signed and even has received a partial payment from the debtor. After which they haven’t paid up the remainder of the dues and keep on delaying you by stating that they will get you paid once their managers give them the green signal.

How much is your money? Can you actually prove that they owe you money? Did the debtor actually accept that they were liable to pay you or are they denying all the facts. What are the jurisdictions my case falls under and how much time do i have to recover my dues.

With time businesses have changed drastically. Now you have businesses which operate in more than 1 city and even state. Your contract may have a clause which says your suit shall be governed by city X but any arbitration shall be done in city Y and where the goods are to be performed is in city Z. This makes it extremely hard to prove your facts.

If you can send a notice for every situation it doesn’t mean you should. There are lot of cases where you can resolve the issue without even sending a notice. But there are also situations where you shouldn’t negotiate with your debtor.

Why Corporate Recovery Matters in India in 2026

Corporate recovery is any dues which are supposed to be paid to you from your business, can be recovered from any legal source. Any invoice, whether pending or unpaid or any legal dues against any firms for any materials, contracts, services rendered, credit cards, consulting assignments, distribution agreements, guarantees etc.

When your small business doesn’t get paid for an invoice worth Rs 10 lakhs then you may not be able to pay your employee’s wages or purchase raw material to manufacture your goods. If you own a big business, then that might mean you don’t have money to pay off your suppliers.

There is something that becomes a worry when you procrastinate to take an action i.e., Limitation.

The Limitation Act covers the topic of Limitation. According to section 18 of the act if there has been any acknowledgement in writing from the debtor and signed by the person from whom the money is to be recovered then you can start the clock from scratch if done within the period of limitation.

Likewise section 19 talks about if any payment has been made towards that particular amount then it can be used to calculate the new limitation with certain conditions applied. So your emails and follow ups might not have increased your limitation period.

Another problem you might face while dealing with a corporate recovery is your debtors. You will notice that the person who was so eager to receive your call in January, isn’t answering your calls in June. There might be a change in the company’s directors or the company may have gone bankrupt. There might even be numerous creditors vying for your client’s business.

Quick Facts

  • Issuing a Legal Notice is ONLY when you want to create an official recorded demand of payment. Sending of legal notice is NOT mandatory before filing every standard Civil suits for money recovery.
  • Sending FLOOD OF legal notices WILL NOT amount to suspension of limitation.
  • Summary remedy available for recovery of certain debts. Order 37 CPC 1908. The debt must be a liquidated debt arising where a contract in writing has been broken.
  • If suit is Commercial in nature file under Commercial Courts Act 2015.
  • Pre Institution Mediation compulsory under section 12A applies only to Commercial suits where no immediate ad- interim reliefs are sought. Ordered by SC.
  • MSMED Act 2006 for delay in payment if your concern is a Micro or Small Enterprise.
  • Arbitration Clause affects your remedies.
  • You cannot initiate Insolvency Proceedings against the person who owes you money.

What Does a Corporate Recovery Lawyer Actually Assess?

Acknowledgement of Debt? Pre-determined sum due Liquidated? Acknowledged bills of supply not paid? Set-off genuine dispute against contract? Do you have arbitration? Are you a MSE and want to know if you are even a creditor? Do you have Immediate Interim Injunctions to be done?

Its all these small things that turn your case on its head.

Example 1. You supply packing materials to a firm. They have acknowledged all your supplies and made payment. Some amount is due and can easily be computed from the Bills/Accounts submitted.

Example 2.You run an IT company who sold Software Development services. The Party says you never completed milestones and were late in doing so. Also you didn’t supply goods as mentioned in the T&Cs.

The above both can fall under Recovery of Invoice Cases. But notice the difference.

That is why BK Singh Advocate wishes to see all correspondence between the parties. To determine how we plan on attacking your next letter. Be it your Final Notice or Reply to a dispute.

Knowing what type of case you’re looking at is step 1 to Corporate Debt Recovery. Rather than rushing in.

When Should a Company Send a Legal Notice?

Legal notices are sent when your dues are overdue. And calls/reminders haven’t given you a fixed date to expect payments. And the creditor wants a recorded proof of his demands.

If the debtor hasn’t clearly told you he won’t pay you back then sending them a notice can definitely help.

Let’s say you’ve sold goods through your Delhi based firm to a buyer in Jaipur. Every dispatch you’ve made is trackable. And the buyer always agrees to receive the goods but asks for more time.

You’d like to serve him a nice crisp legal notice which can help you in many ways.

Start by listing down all your Invoice numbers. Mention Amount pending. Attach the contract which solidifies your demand. Mention your previous interactions and ask for a reply/closure from them.

Helps you to get a confirmation if they are going to pay you back or have some disagreement to discuss.

When Should a Corporate Recovery Case Be Filed?

IF there is NO POSSIBILITY of voluntary payment, IF a SIGNIFICANT amount of money is involved (that you cannot recover by other means), THERE is a DISPUTE to be adjudicated, IF Limitation is barred and you need to file a suit or INTERIM RELIEFS are sought.

You will need to prove that the money is payable to you. Contract, PO's, invoices (if they were accepted), delivery notes, job completion certificates, correspondence and accounts will all be important.

If you had a contract, you would typically need to plead your contract, your performance of the contract and the defendants breach of contract and the sum you are claiming including why you are entitled to interest etc.

If the Matter is deemed to be a “Commercial Dispute” as defined by the Act (meeting certain criteria in regard to value) then the matter falls under the Commercial Courts Act 2015. The Commercial Courts Act was implemented to deal with Commercial Disputes. This act also made amendments to certain legislation in regard to Civil Procedure.

Can a Business File an Order 37 Summary Suit?

Yes but all dues wont be covered under order 37.

Order 37 of CPC is a summary suit which is applicable only to certain kinds of suits. They are suits on bill of exchange hundies and promissory note and those which arise out of debts or other liquidated monetary demand.

The Demand should arise out of some written instrument e.g. written contract statutory liability and guarantee.

This will only help you if your suit is maintainable under order 37.

Summary means only that you dont have to prove your claim its automatic..but not automatically yours.

Don't get summary interpreted that way. The burden is on the claimant to prove that his suit falls under order 37 and even if he does he can ask permission to defend his self by applying for leave to defend.

Look at your example again.Suppose your company has supplied goods against a written contract at a FIXED PRICE and you have raised purchase orders and invoices against them.It will fall under Order 37. Now look at the same example if it was a services provided under consultancies where there can even be damages also.

So see it from different perspective.

BK Singh Advocate can file summary suit under Order 37 if required.

Can Insolvency Proceedings Be Used for Corporate Recovery?

Insolvency resolution process is to be governed under IBC 2016. So, maintainability of such proceedings would depend upon a few factors like IBC, nature of debt, default, quantum etc.

Only when there is an existing bona fide dispute, this may apply.

If you are a supplier and you have genuine disputes with your client, do not think that your problem is going to be solved because its another fast track recovery case.

You can’t force a commercial dispute to become an insolvency.

BK Singh Advocate can help you analyze where you stand.

How Should Jurisdiction Be Checked?

Jurisdiction is one area which is commonly ignored when viewing recoveries from a corporate desk.

Territorial Jurisdiction can be where defendant resides or carries on business. Where part of cause of action arises. Jurisdiction clause in Agreement. Etc.

Jurisdiction can be mentioned in agreement that all disputes shall be resolved by courts of Gurugram. Agreement can provide Arbitration with seat in New Delhi. Debt might have become payable at some other location.

What Documents Strengthen a Corporate Recovery Claim?

Evidence: Maintain good Documentation, documents maintained by the company will come in handy when you actually want to recover your money.

Contract/Work Order/ Purchase Order

These are the documents which would clearly specify what work/service was to be performed and both parties had agreed upon.

Invoice

Next in line would be the Invoice. But technically an invoice alone shall not take you far in order to settle all disputes.

Delivery Challan/GRN/ Service Certificate/Milestone Certificate and Acknowledgement Mail would act as additional evidence that yes the service was provided.

Bank Statement

This would clearly depict what all has been paid to you and what has not.

Ledger Account

This would give you a fair idea about how your balance in the running account stood but would have to be cross verified with your primary documents.

Correspondence

This can become a game changer. “ we know our dues and will pay you in next month” is not the same as “The material was not accepted by us. Deny your claim”.

Few documents which you would essentially be collecting are-

  • Master Service Agreement/ Supply Agreement/ Vendor Contract
  • Purchase Orders/Work Orders
  • Invoices/Debit & Credit Notes
  • Delivery Challan/ E-way Bill/ Receipt Acknowledgement (if any)
  • Completion Certificate/Milestone Approval/Service Certificate
  • Account Ledger/ Balance
  • Bank Statement showing payment made/partial payment
  • Mail Correspondence
  • Letter of Acknowledgement of Dues(if any)
  • Previous Payment Reminders/Legal Notices sent
  • Settlement offers made
  • Board Resolution/Authorized Signatory ( if any)

Maintain an email trail of all mails sent and received between the two parties. You dont want the Circle someone sending screenshots within your office.

What Evidence Should Not Be Ignored?

Most Attorneys only review documents that favor their client.

If your creditor is making claims of poor quality, late shipment or incomplete job you would want to review those documents too.

Have your attorney review ALL documentation.

What if your vendor says, "the customer took everything off my hands" But you have 3 emails in your file stating they sent you complaints on defects.

Can Interest Be Claimed on Unpaid Corporate Dues

If you can justify interest then say how.

There may be provision for interest in the contract eg if payment is late.

There may be a statute that allows you to charge interest. i.e MSMED for micro and small enterprises.

You can also claim interest that the courts would allow.

Simply writing a huge amount of interest in your demand letter looks bad.

Make sure there is something in the contract or statute to support your claim .along with course of dealing and what you want.

Too many pointless disputes are created by asking for too much.

What If the Debtor Offers a Settlement?

Settling is not always a bad thing.

Sometimes its more commercial for businesses to accept a figure that is offered to them within a reasonable time frame rather than exhaust resources proving they are entitled to the full amount. It all depends on your circumstances.

But make sure it's in writing.

Do you know how it will be paid? Lump sum or instalments? Is interest waived? What if they don't pay? When will their security be released? Is this a deemed full and final payment?

When Should a Business Consult a Corporate Recovery Lawyer?

Consult Counsel when situation is not yet at a "Pinch" point. Some triggers which are apparent are :-

You should consult a lawyer when

  • There are multiple entities of a group involved.
  • You want to name directors / sureties.
  • The counterparty owes you money due to substandard quality.
  • If there is a set off or cross claim by the debtor.
  • If debtor has asked to restructure or pay in instalments.
  • If the debtor is insolvent.
  • You too are potentially liable under the contract.
  • Requirement for pre institution mediation
  • If you think you need to apply for interim relief.

BK Singh Advocate will help you analyse above triggers before you take any action.

1. Should i send a legal notice before filing a corporate recovery suit?

Not every ordinary civil recovery suit will require you to send a legal notice. Depending on the contract/agreement or certain Acts/rules pre institution step/legal notice might be required. If your suit qualifies to be filed as a commercial suit and you do not seek urgent interim relief then pre institution mediation will be required under section 12A.

2. How long should the company wait before sending a recovery notice?

It depends on what type of agreement it is when the invoice was raised whether the party has made any past payments how much is due and what’s the position with respect to limitation. Corporate Law Firm would be able to help you at an early stage when to send a legal notice as soon as you tell us that the party has given multiple assurances.

3. I wish to recover my invoices by sending them to court. Can I file a suit under order 37 CPC?

Yes if your suit falls within the scope of order XXXVII of CPC you may file such a suit. Certain debts are required to be specified in a liquidated amount payable under a written contract in order to qualify for order XXXVII. You would have to see if your invoice qualifies as specified type of debts.

4. Will issuing a legal notice stay the limitation period?

Issuing a legal notice does not stop the limitation period from running. However if the party against whom you wish to file suit acknowledges the debt in writing which qualifies as an acknowledgement under section 18 or makes a payment as deemed under section 19 of limitation act. In these cases limitation can be extended.

5. Can file suit in Commercial court to recover my dues?

Provided your dispute fits in the definition of Commercial Courts Act and fulfils the criteria set out in the Act you can certainly file a suit in the Commercial courts.

6.Is pre institution mediation mandatory before filing a commercial recovery suit?

7. My contract contains an arbitration clause, can i still file a suit?

You first need to understand the meaning of the arbitration clause included in your contract. Whether you can go to an arbitrator or court will depend on various factors relating to the contract. It is not necessary that arbitration is only an alternative to filing a recovery suit.

8.I heard about MSEFC. Can i use MSEFC to recover my unpaid invoices?

Yes . MSEFC can be used to recover your pending invoices provided you are registered as a micro or small enterprise and fulfill the criteria laid down under section 15-18 of MSMED Act.

9. Can i initiate insolvency proceedings against a party just to intimidate him into paying me?

Initiating insolvency proceedings against a party should not be done with an intention to “just” get the party to pay you. Whether you can initiate insolvency proceedings depends on various factors like whether your debt is a qualified debt , certain other conditions are fulfilled. There can also be a bona fide dispute between the parties which can stop you from initiating insolvency proceedings.

10. When should i talk to BK Singh?

If your money is not getting paid and the party has been making several assurances that they will pay you. The answer is At ANY Stage. You can talk to us. Especially if your liability is denied or you are nearing the limitation period it is advisable to talk to us.

Final Thoughts

Each Notice sent carries various factors attached to it. The deal in question, the documents involved, the debtor’s response, the contract, Limitation and Jurisdiction help you decide whether it is advantageous to send out a Notice or not.

As discussed above there are many options available when it comes to commercial disputes. You have Rule 37 of order 37 which lets you file a petition if your claim is for a defined amount and is written and signed. You can also have a binding requirement to do pre institution mediation under section 12A if the suit you’re about to file is a commercial suit and you do not urgently need any interim relief. You can also possibly have an arbitration clause in your contract or MSMED may be applicable to your cause.
